How to File a Form D for Your Syndication
What is Form D (and why you’re filing it)
Form D is a notice filing with the U.S. Securities and Exchange Commission that tells regulators you’re raising capital under Regulation D (most syndications use Rule 506(b) or 506©).

When you must file
You must file within 15 calendar days of your first capital commitment
(Not when money hits the bank—when the investor is legally committed)
Missing this deadline = compliance risk + state filing headaches.

How to File a Form D
Step 1: Create a Login.gov account (required)
Before you can access EDGAR or file anything with the SEC, you must create a Login.gov account.
Each individual who will act as an EDGAR administrator must create their own Login.gov account (shared accounts are not allowed).
How to create a Login.gov account:
- Go to https://www.login.gov
- Select “Create an account”
- Enter your email address
- Use a long-term, secure email (do not use a temporary assistant or deal-specific email)
- Create a strong password
- Verify your email address
- Set up two-factor authentication (2FA)
Recommended: authentication app or SMS backup
Complete identity verification if prompted
✅ Once complete, keep your Login.gov credentials secure — you will use this account to access EDGAR.
Step 2: Get EDGAR access by filing Form ID
To file a Form D, the issuer must apply for EDGAR credentials by submitting Form ID with the U.S. Securities and Exchange Commission.
Key requirements:
- Two administrators are required on the Form ID application
Each administrator must:

Have their own Login.gov account

Be authorized to act on behalf of the issuer
Form ID provides:
- CIK (Central Index Key)
- CCC (CIK Confirmation Code)
- Passphrase
- SEC review timeline
The SEC typically takes 10–14 business days to review and approve Form ID submissions
This approval is not immediate, so timing matters—especially if capital raises are underway
Administrator acceptance requirement (critical)
Once the Form ID is approved:
** Both administrators listed on the Form ID will receive an acceptance email from the SEC*
Each administrator must:
- Log in using their individual Login.gov account
- Accept their EDGAR access
⚠️ EDGAR filing access is not activated until both administrators accept
This is a common bottleneck and can delay Form D filings.
Step 3: File the Form D
After EDGAR access is fully activated:
- Log into EDGAR Next via your login.gov credentials. Your Form ID acceptance email will have a link to to the EDGAR Next website
- Complete and submit Form D within 15 calendar days of the first investor’s capital commitment
- Save the CIK, CCC, and. accession number for your records
Step 4: Complete state (Blue Sky) filings
Form D filing with the SEC does not complete compliance.
You must also submit notice filings in each state where investors reside, typically through the North American Securities Administrators Association (NASAA) EFD system, and pay applicable state fees.
